Welcome to Gaja, an electronic-money-based mobile payment application service (“Gaja App”) operated by PT GPay Digital Asia (“GPay”).

Please read these Terms & Conditions for the use of the Gaja App (“Gaja Terms and Conditions”) carefully, thoroughly and in full before using the Gaja App services. These Gaja Terms and Conditions apply to all visitors and users of the Gaja App (“You”).

The Gaja App is operated in accordance with the applicable laws and regulations, including but not limited to the provisions in the field of payment systems.

A. INTRODUCTION

1.By accessing, downloading, and/or using the Gaja App, You are deemed to have read, understood, and agreed to be bound by these Gaja Terms and Conditions. These Gaja Terms and Conditions constitute a valid and binding agreement between You and GPay. If You do not agree with part or all of the provisions in these Gaja Terms and Conditions, You have the right not to access and/or use the Gaja App.
2.GPay reserves the right to change, add to, or update these Gaja Terms and Conditions from time to time with notice to You through the Gaja App or other communication media no later than 30 (thirty) Business Days before such changes take effect.
3.In the event of any changes to the Gaja Terms and Conditions, You will be asked to declare your agreement to the said changes before being able to continue using the Gaja App.
4.If You do not agree to such changes, You have the right to discontinue using the Gaja App without any fees, penalties, or other additional obligations, and GPay reserves the right to restrict or discontinue your access to part or all of the services in the Gaja App.
5.The use of your personal data in the Gaja App is subject to the “Gaja Privacy Policy”, which forms an inseparable part of these Gaja Terms and Conditions.

B. DEFINITIONS

1.GPay is PT GPay Digital Asia, a limited liability company established under the laws of the Republic of Indonesia, domiciled in Central Jakarta and engaged in the operation of a payment system in the form of electronic money in accordance with the applicable laws and regulations, and operating an application service named Gaja.
2.Gaja App is the electronic-money-based mobile payment application operated and run by GPay and which can be downloaded and used by the User through a mobile device.
3.User is any party who has registered and holds an Account on the Gaja App.
4.Visitor is any party who accesses the Gaja App but has not yet registered as a User.
5.You is any party who accesses and/or uses the Gaja App, including the User and/or Visitor.
6.Account is the account registered on the Gaja App under the User’s name, used to access and use the services in the Gaja App based on the User’s registration request.
7.Balance is the electronic money value stored in the User’s Account and which can be used to carry out Transactions through the Gaja App.
8.Merchant is a party that cooperates with GPay to receive payments from Users through the Gaja App.
9.Transaction is any payment, transfer, bill payment, digital product purchase, or other activity available in the Gaja App from time to time carried out by the User through the Gaja App.
10.Instruction is any command given by the User through the Gaja App to carry out a Transaction.
11.Security Information is any data, code, or authentication method used to access the Account and/or to authorize an Instruction, including but not limited to PIN, password, OTP token, as well as biometric methods such as fingerprint and/or face ID.
12.Calendar Day is each day of the year in the Gregorian calendar, including Saturdays, Sundays, and national holidays.
13.Business Day is a day on which Banks in Indonesia operate, namely Monday to Friday, except for national holidays determined by the government.
14.User Service is the support service provided by GPay for Users, which can be contacted on the days and operating hours determined by GPay, by phone at 0811-8149-4418 and/or email to hello@gaja.id or through other communication channels determined by GPay from time to time.
15.Content is each and every material available in the Gaja App, including but not limited to text, writing, images, illustrations, designs, logos, icons, photos, audio, video, software, program code, layout, and/or other forms of material, whether owned by GPay or licensed from third parties.

C. PRIVACY POLICY

1.You understand and agree that the use of the Gaja App is subject to the Privacy Policy, which forms an inseparable part of these Gaja Terms and Conditions, as can be accessed through the link [*].
2.The Privacy Policy contains information regarding the collection, use, storage, and protection of your personal data by GPay.
3.The Privacy Policy can be accessed through the Gaja App, the official Gaja website, and/or other means provided by GPay from time to time.

D. SCOPE OF SERVICES

1.Through the Gaja App, the User may use services, including but not limited to:
a.topping up the Balance (top-up) through available methods;
b.making payments to Merchants through available methods;
c.transferring funds between Users;
d.making bill payments;
e.using other features or services available in the Gaja App from time to time.
2.Certain features in the Gaja App may only be used by Users who have met certain requirements, including but not limited to the verification process or Account status upgrade, in accordance with the provisions set by GPay from time to time.
3.In providing the Gaja App services, GPay may cooperate with third parties, including but not limited to banks, payment system providers, network providers, and/or other relevant service providers. The User understands that the involvement of such third parties may affect the availability and/or smoothness of the services. To the extent permitted by applicable laws and regulations, GPay is not responsible for disruptions, failures, or losses caused directly by such third parties beyond GPay’s control and which do not constitute the fault, negligence, or failure of supervision and control that GPay should have exercised.
4.The Gaja App may only be used to carry out Transactions in Rupiah currency and within the permitted area in accordance with applicable laws and regulations.
5.The User is prohibited from using the Gaja App for unlawful purposes, including but not limited to any form of gambling (whether online or conventional), fraud, money laundering, fundraising for terrorist activities, human trafficking, prostitution, pornography, or other activities that are contrary to law and/or may harm GPay, Merchants, and/or other parties.
6.Certain limits on the use of the Gaja App, including but not limited to Balance limits, Transaction limits, and other limits related to certain features or services, may be set by GPay from time to time in accordance with applicable provisions.
7.From time to time, GPay may provide features or services in the development (beta) stage. The User understands that such features may not yet function optimally and may experience disruptions or changes at any time, and the use of such features is the User’s choice.

E. REGISTRATION & ACCOUNT

1.To use the features in the Gaja App, You must register and create an Account on the Gaja App in accordance with the procedures determined by GPay from time to time.
2.To register, You must meet the following requirements:
a.be at least 17 (seventeen) years of age;
b.be an Indonesian Citizen or Foreign Citizen; and
c.possess a valid identity document in accordance with applicable laws and regulations, such as a KTP/SIM/KITAS/Passport.
3.GPay reserves the right to request additional documents from the User in order to fulfil obligations under applicable laws and regulations.
4.Registration can only be done through the Gaja App downloaded via Google Playstore (for Android) and Apple App Store (for iOS). You must have a device and an active and valid mobile phone number to receive communications from GPay. GPay does not guarantee that the Gaja App can be used on all mobile devices with all specifications.
5.You must provide an active and valid email address and ensure that the email can receive communications from GPay.
6.You represent and warrant that all data, information, details and/or supporting documents, as well as instructions provided to GPay, both at the time of registration and during the use of the Gaja App, are true, accurate, complete, current, valid, and binding. GPay reserves the right to verify, test and/or validate such data and information, including but not limited to the identity verification process (know your customer/KYC), and to request additional data and/or documents as required in accordance with applicable provisions. Nevertheless, GPay carries out verification based on the data and/or documents provided by You as well as other available sources in accordance with applicable provisions.
7.You must promptly update your data in the event of any changes, including but not limited to changes of name, address, phone number, or identity document. All risks, losses, or legal consequences arising from your negligence in updating your data are entirely your responsibility.
8.After the registration process is completed, GPay will create an Account for You. The Account initially has no Balance and must be topped up first before it can be used to carry out Transactions.
9.Certain features may only be used after You meet certain requirements, including the verification process or Account status upgrade in accordance with GPay’s provisions.
10.The User must comply with the usage limits of certain features, including Balance limits and/or Transaction limits, as set by GPay from time to time in accordance with applicable provisions.
11.GPay will carry out a verification process in accordance with applicable standards and provisions to enable the User to use certain features, including but not limited to financial and/or non-financial transactions.
12.You are only permitted to have 1 (one) Account, unless otherwise determined by GPay and in accordance with applicable laws and regulations.
13.A registered Account is personal and cannot be transferred, assigned, or used by another party without GPay’s approval.
14.The use of the Account by another party with or without your knowledge remains your responsibility, to the extent it is not proven that there is a fault on GPay’s part.
15.You are responsible for all activities that occur in your Account.
16.GPay reserves the right to reject your registration application or close your Account. If there is a Balance in the Account, GPay will return such funds to You in accordance with applicable provisions.
17.In the event your Account has been closed and You wish to use the Gaja App services again, You must register again.
18.The Account is the basis of the relationship between You and GPay, so that closure of the Account will result in the termination of access to the services related to that Account.
19.In the event of a dispute regarding the ownership or use of the Account, including but not limited to claims by third parties or heirs, GPay reserves the right to suspend access and/or postpone transactions until the dispute is resolved in accordance with applicable legal provisions.

F. USE OF THE APPLICATION

1.By accessing and/or using the Gaja App, the User declares having read and understood these Gaja Terms and Conditions as well as information related to the services available in the Gaja App, including but not limited to the applicable benefits, risks, and fees.
2.You must use the Gaja App in accordance with these Gaja Terms and Conditions as well as applicable laws and regulations.
3.In using the Gaja App, You are prohibited from:
a.using any device, software, or method intended to manipulate the system or data in the Gaja App;
b.committing acts that violate the law and/or applicable laws and regulations;
c.accessing or attempting to access the Gaja App, its related systems, networks, or servers without authorization;
d.unlawfully changing, adding, reducing, damaging, removing, moving, transferring, and/or hiding electronic information and/or electronic documents;
e.sending or distributing malicious programs, including viruses, worms, trojan horses, or other code that may damage or disrupt the Gaja App;
f.obstructing, interfering with, or damaging the performance, integrity, or security of the Gaja App or related systems;
g.carrying out reverse engineering, decompilation, or other efforts to obtain the source code of the Gaja App, including to create similar or competing products or services;
h.copying, modifying, adapting, translating, creating derivative works, distributing, disseminating, transmitting, selling, reselling, transferring, disassembling, compiling, or licensing or sub-licensing any part of the Gaja App;
i.creating links to the Gaja App or creating a ‘frame’ or ‘mirror’ of any part of the Gaja App to any server or wireless device or internet-based device without permission;
j.launching any program or script, including web spiders, web crawlers, web robots, web ants, web indexers, bots, viruses, worms, or programs that generate or may generate multiple simultaneous requests to the server within seconds, or that without authorization obstruct or overload the performance of the Gaja App;
k.hacking or attempting to hack or modify the Gaja App or its related systems, networks, or servers owned or managed by GPay;
l.impersonating another party or entity or giving a false impression or statement regarding your affiliation or relationship with a person or entity;
m.committing acts or efforts that may cause harm to GPay, and/or damage the reputation of or cause defamation or insult to GPay; and/or
n.using the Gaja App for unlawful, illegal purposes, or purposes contrary to the intended use of the Gaja App.
4.You must comply with all requirements and provisions set by the competent authorities (such as PPATK, KPK, Bank Indonesia, OJK, or other competent authorities), including agreeing that GPay may request, collect, use, and/or disclose the User’s data and/or information to the competent authorities in accordance with applicable laws and regulations.
5.Violation of the provisions in this Article may result in the restriction, suspension, or closure of your Account by GPay in accordance with these Gaja Terms and Conditions, including but not limited to the provisions regarding Account Suspension and Closure.

G. INSTRUCTIONS & TRANSACTION AUTHORIZATION

1.Every Instruction to carry out a Transaction may only be given by the User through the Gaja App in accordance with the procedures and mechanisms set by GPay from time to time.
2.The User must authorize every Instruction using Security Information in accordance with the authentication method determined by GPay from time to time.
3.The User grants authority to GPay to carry out every Instruction given through the Gaja App, including but not limited to the authority to debit and/or credit the Balance in the User’s Account to the extent necessary for the execution of the Transaction in accordance with these Gaja Terms and Conditions.
4.Every Instruction that has been authorized using Security Information will be deemed a valid and binding instruction from the User.
5.The User is responsible for every Instruction given and authorized through the use of Security Information in the Gaja App, including if such Instruction is carried out by another party who obtains access to such Security Information, to the extent it is not proven that there is a fault in GPay’s system.
6.GPay will process the Instructions that have been authorized by the User in accordance with the systems and procedures applicable in the Gaja App.
7.Without reducing the provisions referred to in paragraph (6), GPay reserves the right to refuse, postpone, restrict, or cancel the execution of an Instruction and/or Transaction if there is an indication of misuse, fraud, violation of these Gaja Terms and Conditions, and/or activities that violate applicable legal provisions, with or without notice to the User to the extent permitted by applicable provisions.
8.The User understands that every Instruction that has been authorized and processed by the system may be irrevocable once processed by the system, in accordance with applicable provisions.
9.The User understands and agrees that the delivery of Instructions and the execution of Transactions are carried out through electronic systems, which carry certain risks including but not limited to network disruptions, system failures, or processing delays.
10.The User releases GPay from losses, liabilities, claims, and costs (including legal costs) arising in connection with the execution of Instructions given by the User and authorized in accordance with these Gaja Terms and Conditions, to the extent such losses are not caused by GPay’s fault or negligence.
11.GPay reserves the right to make corrections, cancellations, and/or adjustments to a Transaction and/or Balance in the event of recording errors, system failures, or other reasonable circumstances in accordance with applicable laws and regulations.

H. ACCOUNT SECURITY

1.The User must maintain the security and confidentiality of the Account and Security Information, and is prohibited from giving or disclosing Security Information to any party, including parties claiming to be representatives of GPay. GPay never requests Security Information, including but not limited to username, password, or PIN, for any reason, and the User must refuse any such request in any form.
2.The User is fully responsible for all use of their Account and/or Security Information, including if used by another party, to the extent it is not caused by fault, negligence, system weakness, or unauthorized access that is within GPay’s control.
3.Every use of Security Information will be deemed a valid act of the User and constitutes a binding form of agreement to the Instructions given through the Gaja App, and has legal force equivalent to a written instruction made and approved by the User in accordance with applicable provisions.
4.The User must use Security Information that is strong and not easily guessed, and must not use personal information such as date of birth or other data that is easily accessible to others.
5.The User must immediately notify GPay through User Service if they become aware of or suspect any unauthorized use of the Account or Security Information.
6.The Gaja App may provide authentication features using biometric methods, including fingerprint and/or face ID, in accordance with the device used by the User.
7.The use of biometric features is the User’s choice, and the User is responsible for ensuring that only their own biometric data is registered and used on the device used to access the Gaja App.
8.The User understands that any access or Transaction carried out using biometric features will be deemed valid access or a valid Transaction by the User, to the extent it is not proven that there is a fault in GPay’s system.
9.The User is responsible for the security of the device used to access the Gaja App, including ensuring that the device is not accessed by unauthorized parties.
10.The User must ensure that the device used is free from viruses, malware, or other disturbances, and is not in a condition that has been modified without authorization (unauthorized modification), including but not limited to jailbreak or root.
11.The User understands that the use of the Account and Security Information in electronic systems carries certain risks, including but not limited to the risk of unauthorized access due to the User’s negligence in maintaining the confidentiality of Security Information or the security of the device used.
12.Communications and Instructions made through the Gaja App constitute valid evidence in accordance with applicable laws and regulations, even if not made in the form of a written document or physically signed.

I. FEES

1.GPay may impose fees for the use of services in the Gaja App, including but not limited to transaction fees, service fees, and/or other fees in accordance with applicable provisions.
2.Information regarding the types and amounts of fees is provided clearly and easily accessible through the Gaja App, the official Gaja website, the help/FAQ page, and/or other official communication media provided by GPay.
3.GPay reserves the right to set and/or change the types and amounts of fees from time to time with due regard to applicable laws and regulations, with notice to the User through the channels referred to in paragraph (2) before such changes take effect.
4.By using the services in the Gaja App, the User declares having read and understood every applicable fee, including any changes thereto as informed through the channels referred to in paragraph (2).

J. TRANSACTION RISK

1.The User is responsible for ensuring that all data, information, and Instructions provided through the Gaja App are true, complete, and clear.
2.The User understands that every Instruction given through the Gaja App will be processed based on the data and information received by the system, so that errors in the User’s data entry or Instructions may result in the failure or error of a Transaction.
3.GPay reserves the right not to process or to postpone the execution of an Instruction under certain conditions, including but not limited to:
a.the balance in the Account is insufficient;
b.the Account is in a blocked, restricted, or administratively sanctioned condition;
c.there is an indication of misuse, fraud, or unlawful activity; and/or
d.other conditions in accordance with applicable laws and regulations.
4.The User understands that the services in the Gaja App may experience limitations, disruptions, or delays caused by certain conditions, including but not limited to system maintenance, network disruptions, or other factors beyond GPay’s control, to the extent not caused by GPay’s fault or negligence.
5.GPay reserves the right to carry out maintenance, updates, or changes to the system and/or the Gaja App from time to time in order to improve service quality, which may temporarily affect the availability of services.
6.In the event of a dispute between the User and a third party regarding a Transaction, GPay reserves the right to postpone the execution of the Transaction and/or withhold the funds related to such Transaction until the dispute is resolved in accordance with applicable provisions.

K. BOOKKEEPING & TRANSACTION EVIDENCE

1.GPay will record every Transaction that occurs in the User’s Account, including every change in Balance, in the Gaja App system, which serves as the basis for Transaction bookkeeping.
2.Transaction history and other related information will be available in the Gaja App and/or other media in the format determined by GPay from time to time, which can be accessed by the User in accordance with applicable provisions.
3.Records, history, and/or recordings of Transactions stored in GPay’s system constitute valid evidence in accordance with applicable laws and regulations.
4.The User is advised to check the Transaction history periodically and to immediately contact User Service if there is any discrepancy in the recording of a Transaction.

L. HANDLING & RESOLUTION OF USER COMPLAINTS

1.The User may submit complaints regarding the use of the Gaja App and/or the services provided by GPay through User Service by providing relevant information and/or supporting documents as needed for complaint handling.
2.GPay does not charge the User for the submission, handling, and resolution of complaints filed through the complaint mechanism provided by GPay.
3.For complaints received, GPay will carry out verification, review, and/or follow-up on such complaints in accordance with GPay’s internal procedures and applicable laws and regulations. In the complaint handling process, GPay may request additional information or documents from the User if necessary.
4.GPay will provide information regarding the status of complaint handling and/or the progress of complaint resolution through the channels determined by GPay in accordance with applicable laws and regulations.
5.In the process of handling and resolving complaints, the User has the right to:
a.obtain information regarding the status of complaint handling;
b.submit additional relevant information or documents;
c.receive the result of the handling or resolution of the complaint; and
d.file an objection or pursue other dispute resolution efforts in accordance with applicable laws and regulations.
6.In the event a complaint cannot be resolved through GPay’s complaint handling mechanism, the User and GPay may pursue the dispute resolution mechanism as regulated in these Gaja Terms and Conditions and/or in accordance with applicable laws and regulations.

M. ACCOUNT SUSPENSION & CLOSURE

1.GPay reserves the right to restrict access, suspend, or temporarily discontinue the use of the Gaja App and/or certain features by the User, with or without prior notice to the extent permitted by applicable laws and regulations.
2.The User may submit a request to close the Account through User Service or through other official channels provided by GPay.
3.GPay reserves the right to close, block, or freeze the Account, temporarily or permanently, in the event that:
a.there is an indication of misuse, fraud, or unlawful activity;
b.the User provides untrue or incomplete data, or refuses to provide required data;
c.the User is indicated on a watchlist or sanctions list in accordance with laws and regulations, such as the List of Suspected Terrorists and Terrorist Organizations (DTTOT) and the List of Funding for the Proliferation of Weapons of Mass Destruction;
d.there is a request or order from the Police, the Prosecutor’s Office, the Court, the Indonesian Financial Transaction Reports and Analysis Center (PPATK), the Tax Office, or other competent authorities in accordance with applicable law;
e.there are obligations/debts that have not been settled by the User to GPay;
f.at the request of the User or a legally entitled party;
g.the occurrence of Force Majeure lasting 3 (three) months or more consecutively; and/or
h.other reasonable and valid grounds based on applicable laws and regulations.

The actions referred to in this paragraph may be taken with or without prior notice to the User to the extent permitted by applicable laws and regulations.

4.In the event the User passes away or no longer has legal authority over the Account, GPay reserves the right to close the Account and process the return of the Balance to the entitled party in accordance with applicable legal provisions, after verification of the required documents.
5.In the event the Account is closed, GPay will return the Balance to the User after deducting any outstanding obligations (if any), in accordance with the method determined by GPay and informed to the User.
6.The method, minimum limit, and time period for the return of the Balance will follow the provisions informed through the Gaja App and/or other official media.
7.Without reducing the provisions in paragraph (6), for the time being:
a.if the Balance exceeds Rp50,000.00 (fifty thousand Rupiah), the refund will be made by transfer to the account designated by the User;
b.if the Balance is less than or equal to Rp50,000.00 (fifty thousand Rupiah), the refund may be made through another method determined by GPay; and
c.the refund will be processed within no later than 14 (fourteen) business days from the date of Account closure, provided that all requirements have been met.
8.In certain cases, GPay may require the User or the entitled party to fulfil additional procedures, including but not limited to identity verification or the submission of supporting documents.
9.GPay reserves the right to withhold part or all of the Balance in the User’s Account in the event of an indication of violation, the need for investigation, or a request from the competent authorities in accordance with applicable provisions.
10.The User agrees that fees arising in connection with the closure of the Account that are notified to the User may be charged to the User by deducting the Balance.
11.In the event the restriction, suspension, or closure of the Account is carried out without prior notice, GPay will provide notice to the User within a reasonable time after such action is taken, to the extent permitted by applicable provisions.

N. LIMITATION OF LIABILITY

1.The User is fully responsible for:
a.the security and confidentiality of the Account and Security Information;
b.all data, information, and Instructions provided through the Gaja App; and
c.every use of the Account, whether by the User themselves or by another party who obtains access to the User’s Account;

to the extent not caused by fault, negligence, security system failure, or unauthorized access that is within GPay’s control.

2.To the extent permitted by applicable laws and regulations, GPay is not responsible for losses arising from the following matters, to the extent not caused by GPay’s fault or negligence:
a.negligence, error, or inaccuracy of data and/or Instructions provided by the User;
b.use of the Account by another party, including as a result of leakage or misuse of Security Information;
c.use of device security features, including but not limited to fingerprint and/or face ID;
d.failure, disruption, or limitation of devices, networks, electronic systems, or third-party services;
e.use of the Gaja App on a device that is not supported, has been modified, or is not in accordance with the provisions;
f.delay, failure, or rejection of a Transaction carried out in accordance with the provisions of the Gaja Terms and Conditions; and/or
g.events beyond GPay’s reasonable control (Force Majeure).
3.GPay is not responsible for losses arising from the use of software, applications, or systems other than those officially provided or recommended by GPay, to the extent such losses are not caused by fault, negligence, or system failure that is within GPay’s control.
4.GPay will make reasonable efforts to maintain the availability, security, and reliability of the Gaja App, but does not guarantee that the Gaja App will always be available without interruption, free from errors, or meet all of the User’s needs at all times, to the extent not contrary to applicable laws and regulations.
5.The provisions in this Article remain in effect after the termination of the use of the Gaja App by the User.
6.To the extent permitted by applicable provisions, GPay is not responsible for indirect losses, consequential losses, or loss of profit arising from the use of the Gaja App, to the extent not caused by GPay’s fault or negligence.

O. INDEMNITY

1.The User agrees to release and indemnify GPay, including its directors, commissioners, employees, and affiliates, from and against each and every claim, demand, loss, liability, cost, and expense (including reasonable legal costs) arising out of or in connection with the following matters, to the extent not caused by GPay’s fault or negligence:
a.the User’s violation of the Gaja Terms and Conditions;
b.the User’s use of the Gaja App that violates the law or the rights of third parties;
c.data, information, or Instructions provided by the User that are untrue, inaccurate, incomplete, or misleading; and/or
d.misuse of the Account or services by the User or another party who obtains access from the User.
2.The indemnity obligation referred to in this Article remains in effect even though the relationship between the User and GPay has ended.

P. INTELLECTUAL PROPERTY RIGHTS

1.The Gaja App and all of its Content are the property of GPay and/or third-party licensors, protected by the applicable laws and regulations in the field of intellectual property rights.
2.As long as the User complies with these Gaja Terms and Conditions, GPay grants the User a limited, non-exclusive, non-transferable and non-sublicensable license to:
a.download and install the Gaja App on a device owned or controlled by the User; and
b.use the Gaja App solely for personal and non-commercial purposes.
3.Apart from the limited license referred to in paragraph (2), no other rights are granted to the User over the Gaja App or the Content. All rights, ownership, and interest in the Gaja App and the Content remain with GPay and/or its licensors.
4.The User is prohibited from, directly or indirectly:
a.copying, modifying, distributing, displaying, or creating derivative works from the Gaja App or the Content;
b.using the Gaja App or the Content for commercial purposes without GPay’s written approval;
c.carrying out reverse engineering, decompilation, or other efforts to obtain the source code of the Gaja App; or
d.carrying out other acts that violate the intellectual property rights of GPay or third parties.
5.To the extent permitted by applicable laws and regulations, GPay does not provide any guarantee that the Content will be entirely free from third-party claims.
6.The termination of the use of the Gaja App by the User does not eliminate or affect the ownership rights of GPay and/or its licensors over the Gaja App and the Content.

Q. FORCE MAJEURE

1.In the event GPay is unable to perform part or all of its obligations under these Gaja Terms and Conditions due to events beyond GPay’s reasonable control (“Force Majeure”), such delay or failure shall not be deemed a violation of these Gaja Terms and Conditions.
2.Force Majeure includes, but is not limited to: natural disasters, fire, flood, earthquake, war, riots, security disturbances, system disruptions, infrastructure failure, telecommunications or internet network disruptions, power outages, failure of payment systems or third-party systems, as well as other events beyond GPay’s reasonable control and not caused by GPay’s operational error, negligence, or internal control failure.
3.In the event of Force Majeure, GPay will:
a.make reasonable efforts to minimize the impact arising; and
b.resume the provision of services after the Force Majeure ends within a reasonable time.

R. GOVERNING LAW & JURISDICTION

1.These Gaja Terms and Conditions are governed, interpreted, and subject to the laws of the Republic of Indonesia.
2.In the event of a dispute arising out of or in connection with these Gaja Terms and Conditions, the User and GPay agree to first resolve it amicably by deliberation to reach a consensus.
3.If the dispute cannot be resolved amicably within 30 (thirty) Calendar Days from the date one party delivers written notice of the dispute, then the dispute will be resolved through the Central Jakarta District Court, without reducing the mandatory provisions of law.

S. MISCELLANEOUS

1.These Gaja Terms and Conditions are effective from the time the User accesses the Gaja App and remain in effect for as long as the User accesses and/or uses the Gaja App. These Gaja Terms and Conditions, together with the Privacy Policy, constitute a valid and electronically binding agreement in accordance with applicable laws and regulations.
2.Every notice from GPay to the User through the Gaja App, email, short message, or other communication means registered in GPay’s system or provided by the User to GPay, is deemed to have been validly received by the User.
3.In the event any provision in these Gaja Terms and Conditions becomes invalid, unenforceable, or unable to be carried out under applicable law, such provision will be severed without affecting the validity and enforceability of the other provisions in these Gaja Terms and Conditions.
4.The User may not transfer their rights and/or obligations under these Gaja Terms and Conditions to another party without GPay’s written approval. GPay reserves the right to transfer part or all of its rights and/or obligations to another party to the extent it does not reduce the User’s rights under these Gaja Terms and Conditions and applicable laws and regulations.
5.GPay’s failure or delay in exercising any right under these Gaja Terms and Conditions shall not be deemed a waiver of that right or any other right.
6.These Gaja Terms and Conditions constitute the entire agreement between the User and GPay regarding the use of the Gaja App and supersede all previous agreements, whether written or unwritten, if any.

T. CONTACT US

1.The User may submit suggestions, requests, complaints, or questions regarding the Gaja App through User Service as defined in these Gaja Terms and Conditions, on Business Days at 08:30-17:30 WIB.
2.In following up on such suggestions, requests, complaints, or questions, GPay may verify the User’s data or information.
3.GPay reserves the right to postpone or be unable to process or follow up on suggestions, requests, complaints, or questions if the data or information provided by the User does not match the data recorded in GPay’s system or is inadequate for handling purposes.
4.GPay will follow up on every suggestion, request, complaint, or question in accordance with these Gaja Terms and Conditions as well as GPay’s applicable internal procedures and policies.
5.GPay will endeavor to provide a response within a reasonable time in accordance with the complexity of the issue and applicable provisions.
